INTRODUCTION AND SCOPE
1.1 These Terms of Use (“Terms”) govern your access to and use of the websites, applications, connected hardware devices, scent pods and consumables, subscriptions, and related services (collectively, the “Services”) of Serenyc Limited, an Irish private limited company with registered office at 6 Fern Road, Sandyford, Co. Dublin, D18 FP98, Ireland, company number 797268 ("Serenyc," "we," "us," or "our").
1.2 By accessing or using the Services, you agree to be bound by these Terms and acknowledge our Privacy Policy. If you do not agree, you must not access or use the Services.
1.3 These Terms apply to:
- Website and application usage;
- Subscription services;
- Beta programmes; and
- All related interaction with Serenyc.
1.4 These Terms shall be read together with:

1.5 By accessing or using the Services, the user (“User”) agrees to be bound by these Terms.
CONSUMER RIGHTS: If you are a consumer resident in the European Union or Ireland, nothing in these Terms affects your mandatory rights under the Consumer Rights Act 2022, the Consumer Protection Act 2007, SI 484/2013, and all other applicable mandatory legislation. Where any provision conflicts with mandatory consumer law, mandatory law prevails.
PRE-CONTRACT INFORMATION FOR CONSUMERS
Provided in compliance with Article 6 EU Consumer Rights Directive 2011/83 and SI 484/2013 (Ireland):
2.1 Trader: Serenyc Limited, 6 Fern Road, Sandyford, Co. Dublin, D18 FP98, Ireland. Company number: 797268. Email: hello@serenyc.com.
2.2 Products and services: connected smart scent diffusion hardware, RFID-enabled essential oil pod subscriptions, lighting, sound and haptic accessories, app-based personalisation, and related services.
2.3 Total price: inclusive of all applicable taxes and delivery costs, as displayed at the point of purchase.
2.4 Delivery: digital services available upon purchase confirmation. Physical goods shipped to the address you provide; estimated delivery times shown at checkout.
2.5 Right of withdrawal: 14 days (see Clause 3).
2.6 Complaints: contact us at hello@serenyc.com. See Clause 16 for dispute resolution.
2.7 Statutory guarantee: your statutory rights regarding conformity of goods and services are fully preserved.
ELIGIBILITY AND ACCOUNT REGISTRATION
3.1 The Services are intended for individuals who:
- Are at least 16 years of age; and
- Have legal capacity to enter into binding agreements.
3.2 Users shall:
- Provide accurate, current, and complete information;
- Maintain and promptly update such information.
3.3 Users are responsible for:
- Safeguarding login credentials;
- All activities conducted under their account.
3.4 Serenyc reserves the right to suspend or temporarily restrict, or to terminate, a User’s account, acting reasonably and proportionately, in the following circumstances:
- (i) Provision of false, misleading, or materially inaccurate information in connection with account registration or use of the Services; (ii) A material breach of these Terms that is not remedied within a reasonable period following written notice (except where the breach is incapable of remedy); (iii) Reasonably suspected security compromise, fraud, or abuse of the Services; or (iv) As required by applicable law or a regulatory authority. Where the User holds an active paid subscription and Serenyc terminates the account otherwise than for the User’s own material breach, Serenyc will provide a pro-rata refund of prepaid subscription fees for the unused period. Except in cases of security emergency or fraud, or where advance notice would compromise the integrity of an investigation, Serenyc will provide reasonable advance notice of suspension or termination and the reason for it. Nothing in this clause affects your mandatory rights under applicable consumer law.

SERVICE AND PRODUCT STRUCTURE
4.1 Serenyc provides a multisensory platform integrating:
- Scent diffusion
- Lighting systems
- Sound environments
- Haptic feedback
4.2 The Services include:
- Physical Device (IoT-enabled hardware)
- Consumables (including scent pods and refills)
- Software platforms (mobile/web applications)
- Subscription-based offerings
- Beta testing programmes
4.3 Certain Services may be subject to additional terms, which shall form part of these Terms.
DEVICE USE, SAFETY AND USER RESPONSIBILITIES
5.1 Users shall use all Devices strictly in accordance with:
- Product instructions;
- Safety guidelines;
- Applicable laws and regulations.
5.2 Devices may include electrical and heat-based components, and improper use may result in:
- Malfunction
- Property damage
- Personal injury
5.3 Users shall not:
- Modify Devices;
- Use unauthorised consumables;
- Operate Devices in unsafe environments (including excessive heat conditions such as enclosed vehicles).
5.4 Serenyc shall not be liable for damage arising from:
- Misuse or negligence;
- Improper installation;
- Use with third-party products;
- Failure to follow safety instructions.
- The exclusions in this Clause 5.4 apply only to the extent permitted by applicable law. They do not limit or exclude liability under the Liability for Defective Products Act 1991 (Ireland) or any other mandatory provision of applicable law, see Clause 19.4 for the full statement of non-excludable liabilities
5.5 Serenyc reserves the right to issue:
- Safety notices;
- Product recalls;
- Usage restrictions
CONNECTIVITY, SYSTEM DEPENDENCIES AND PERFORMANCE
6.1 The Services rely on:
- Internet connectivity;
- Cloud infrastructure;
- Third-party integrations.
6.2 Serenyc does not guarantee:
- Continuous availability;
- Error-free operation;
- Real-time responsiveness.
6.3 Service performance may be affected by:
- Network outages;
- Third-party failures;
- Environmental conditions.
6.4 Serenyc shall not be liable for losses arising from such dependencies.
AUTOMATION AND PERSONALISATION
7.1 The Services may include automated functionality based on:
- User-defined preferences;
- Historical usage patterns.
7.2 Automation features are:
- Optional;
- User-controlled;
- Configurable.

RIGHT OF WITHDRAWAL — 14-DAY COOLING-OFF PERIOD (CONSUMERS)
8.1 If you are a consumer, you have the right to withdraw from a distance contract within 14 calendar days without giving any reason.
8.2 The withdrawal period runs from: (i) for goods: the day you or a nominated third party (other than the carrier) physically receives the goods; (ii) for digital content or services: the day the contract is concluded, unless you requested immediate performance and acknowledged that withdrawal rights would be lost.
8.3 To exercise your right, inform us at hello@serenyc.com or by post with a clear statement of your decision. You may use the model form below:
Model Withdrawal Form: To Serenyc Limited, 6 Fern Road, Sandyford, Co. Dublin, D18 FP98, Ireland / hello@serenyc.com — I/We hereby give notice that I/We withdraw from my/our contract of sale of the following goods / for the provision of the following service: [describe goods/service], ordered on [date], received on [date], [consumer name], [consumer address], [date].
8.4 We will reimburse all payments received, including standard delivery costs, within 14 days of your withdrawal notice using the same payment method. You must return goods within 14 daysof your withdrawal notice. The cost of return postage is borne by you in respect of voluntary withdrawal under this Clause 8 where the goods conform to contract. Where goods are defective, do not conform to the statutory guarantee of conformity under the Consumer Rights Act 2022 (Ireland), or are subject to a product liability claim under the Liability for Defective Products Act 1991, Serenyc bears the cost of return. If you are returning goods for this reason, please contact us at hello@serenyc.com before returning and we will arrange a pre-paid return label or an alternative collection arrangement.
8.5 Exceptions
The right of withdrawal does not apply to: (i) goods made to your specification; (ii) sealed goods not suitable for return for hygiene reasons that have been unsealed, this applies to opened scent pods, cartridges, and consumables; (iii) digital content where delivery has begun with your agreement; or (iv) other CRD exceptions, which will be clearly identified at the point of purchase.
SUBSCRIPTIONS — PRICING, BILLING, AND CANCELLATION
9.1 Payment
9.1.1 Prices for products and services shall be as displayed at the time of purchase.
9.1.2 Payments are processed through third-party providers including:
- Stripe;
- Klarna (where applicable).
9.1.3 Serenyc does not store full payment details.
9.1.4 Users agree to comply with applicable terms of payment providers.
9.1.5 Serenyc reserves the right to:
- Modify pricing;
- Introduce new charges
with prior notice where required.
9.2 Subscription Products
9.2.1 Serenyc offers subscription plans, including:
- Monthly
- Quarterly
- Annual
9.2.2 Subscription pricing may range from €20–€65 depending on product configuration.
9.2.3 Subscriptions shall:
- Automatically renew;
- Continue until cancelled.
9.2.4 By subscribing, Users expressly consent to:
- Recurring billing;
- Automatic renewal.
9.3 Automatic Renewal
Subscriptions renew automatically at the end of each billing period unless cancelled. We will send a renewal reminder before each renewal. We will give you at least 30 days' notice of any material price increase.
9.4 Cancellation
Cancel your subscription by: (i) logging into your account dashboard and selecting the cancellation option; or (ii) contacting us at hello@serenyc.com. To avoid charges for the next billing cycle, cancel at least 5 business days before your next renewal date. Access continues until the end of the current paid billing period.
9.5 Refunds — Subscription
New subscribers are entitled to a full refund within 14 days of the first subscription payment under the right of withdrawal in Clause 8. After the 14-day period, fees for the current period are non-refundable except as required by applicable law.
9.6 Failed Payments
If a scheduled payment fails, we will notify you and attempt to retry. If payment cannot be collected, your subscription may be suspended or cancelled and you remain liable for outstanding amounts.
9.7 Pause and Resume
Where available, you may pause your subscription via your account dashboard. Pausing suspends future deliveries and billing for the selected period. Conditions are described in your account settings.
PURCHASING HARDWARE AND CONSUMABLES
10.1 Orders
When you place an order, you make an offer to purchase. We accept by dispatching the product or confirming in writing. We reserve the right to decline, cancel, or limit any order where we have reasonable grounds to suspect fraud or resale in breach of these Terms. Reasonable grounds may include, without limitation: orders in unusual quantities inconsistent with personal or household use; multiple orders placed within a short period to the same or related delivery addresses; use of payment methods or billing details associated with previously identified fraudulent transactions; orders that match patterns consistent with commercial resale or grey-market distribution; or any other objective indicator that the order is not placed for personal, non-commercial use in accordance with these Terms. Where we cancel or decline an order under this clause, we will notify you and issue a full refund of any payment taken. This clause does not affect your statutory rights.
10.2 Returns and Refunds — Physical Products
10.2.1 14-day statutory return: Unopened physical products may be returned within 14 days for a full refund, subject to the hygiene exception for opened consumables.
10.2.2 30-day exchange programme: As an additional voluntary benefit, Serenyc may offer a 30-day exchange on eligible scent pod products, allowing you to exchange pods you have tried but do not prefer, subject to reasonable usage limits and conditions described at the point of purchase.
10.2.3 Hygiene exception: Opened, unsealed, or partially used scent pods and consumables are not eligible for return or refund. This exception will be clearly communicated at the point of purchase.
10.2.4 Abuse protection: We reserve the right to refuse returns or exchanges where we reasonably determine there has been abuse of the returns process or misuse of the product.
10.3 Product Warranty — Hardware
10.3.1 Serenyc hardware devices are covered by a 12-month limited warranty from the date of purchase, covering defects in materials and workmanship under normal use.
10.3.2 The warranty covers: electrical and mechanical defects under normal use; failure of the heating or diffusion mechanism through no fault of the user; and electronic faults not caused by liquid ingress, physical damage, or misuse.
10.3.3 The warranty does not cover: damage caused by misuse, drops, or physical impact; damage from third-party oils, non-Serenyc pods, or unauthorised refills; normal wear and tear; cosmetic damage; or liquid ingress from use contrary to instructions.
10.3.4 To make a warranty claim, contact us at hello@serenyc.com with proof of purchase and a description of the defect. This warranty is in addition to your statutory rights.
10.3.5 Serenyc may: repair; replace; or provide alternative remedy at its discretion.
DEVICE AND PRODUCT SAFETY
11.1 Use Devices only as directed and only with Serenyc-approved pods and consumables.
11.2 Keep Devices out of reach of children and pets.
11.3 Do not ingest consumables. Avoid eye and skin contact; rinse with water if contact occurs; seek medical advice if irritation persists.
11.4 Do not open, disassemble, or tamper with Device components.
11.5 Do not refill cartridges or containers unless Serenyc explicitly authorises refilling.
11.6 Do not place Devices near heat sources, open flames, or direct sunlight.
11.7 Vehicle use: Vehicle environments involve extreme temperature variations. Follow all specific vehicle usage guidelines provided with your product. Do not place devices where they may obstruct your view or safe operation of the vehicle.
11.8 Unplug or power off before cleaning. Do not immerse in water unless expressly permitted.
11.9 If a Device malfunctions, overheats, leaks, emits smoke or sparks, or behaves abnormally: stop use immediately and contact us at hello@serenyc.com.
11.10 Users with respiratory sensitivities, allergies, or relevant medical conditions should consult their doctor before use.
HOW OUR PLATFORM WORKS — AUTOMATION TRANSPARENCY
12.1 Serenyc's platform coordinates scent, lighting, sound, and haptic outputs through intelligent automation. In plain terms:
12.1.1 What you set: You choose your preferred sensory profiles and, if you wish, configure schedules or automation rules.
12.1.2 What the system learns: The system observes patterns in how you use the device (which profiles you activate and when) and uses this history to improve recommendations and automate your preferred routines.
12.1.3 What the system does: Based on your configured preferences and usage history, the system may automatically adjust sensory outputs according to your chosen automation settings.
12.1.4 What you control: Automation is always user-enabled. You can turn it on or off, modify preferences, or override any adjustment at any time through the app.
12.1.5 What the system does not do: The system does not infer, label, or categorise your emotional or mental state. All adjustments are based on your observed usage behaviour and configured preferences.
12.2 If in future we introduce features that involve emotional state inference or more advanced adaptive personalisation, we will inform you in advance, obtain any necessary consents, and update our policies accordingly.
NO MEDICAL USE
13.1 The Services are provided for lifestyle and wellbeing purposes. They are not a medical device. Do not rely on the Services as medical advice.
INTELLECTUAL PROPERTY
14.1 All intellectual property rights in the Services remain the exclusive property of Serenyc.
14.2 This includes:
- Software
- Firmware
- Algorithms
- Design elements
- Automation systems
- Trade marks
- Graphics
14.3 Users are granted a limited, non-exclusive non-transferable, revocable licence for personal, non-commercial use.
14.4 Users shall not:
- Reverse engineer;
- Copy or reproduce;
- use Serenyc’s Intellectual Property, proprietary software, firmware, algorithms, trade secrets, or other proprietary content licensed under these Terms to develop competing products or services.
USER CONTENT AND FEEDBACK
15.1 If you submit content or feedback, you grant Serenyc a non-exclusive, worldwide, royalty-free, sublicensable licence to use, reproduce, modify, and distribute that content for operating and improving the Services.
15.2 Where user content contains personal data, we handle it in accordance with our Privacy Policy.
15.3 Serenyc may use feedback without restriction or compensation, and improvements derived from feedback belong to Serenyc.
ACCEPTABLE USE
You agree not to:
16.1 use the Services unlawfully;
16.2 reverse engineer, decompile, or extract source code;
16.3 transmit malware or conduct security testing without written consent;
16.4 impersonate any person or entity;
16.5 post unlawful or harmful content;
16.6 use the Services for resale or commercial exploitation in breach of these Terms; or
16.7 exploit the returns or exchange system abusively.
AUTOMATIC UPDATES
17.1 Security and bug-fix updates may be applied automatically.
17.2 Where an update materially alters functionality of a purchased product, we will notify you in advance and, where required by the EU Sale of Goods Directive 2019/771 as transposed in Ireland, obtain your consent.
PRIVACY AND DATA PROTECTION
Our Privacy Policy, incorporated into these Terms by reference, governs our processing of personal data.
LIMITATION OF LIABILITY
19.1 To the maximum extent permitted by applicable law, Serenyc will not be liable for indirect, incidental, special, or consequential damages.
19.2 Aggregate liability cap: Subject to Clause 19.3, Serenyc’s total aggregate liability for all claims arising under or in connection with these Terms shall not exceed the greater of: (a) the total purchase price paid by you to Serenyc for the specific product or Service giving rise to the claim; or (b) the total amount paid by you to Serenyc in the twelve (12) months preceding the event giving rise to the claim. In no event shall this cap fall below €100. Nothing in this Clause 19.2 excludes or limits your rights under EU Directive 93/13/EEC on Unfair Terms in Consumer Contracts as transposed into Irish law, or any other mandatory provision of applicable consumer legislation.
19.3 Additional cap for physical device claims: Notwithstanding Clause 19.2, where a claim arises directly from a physical defect in a Serenyc hardware device (including electrical or heat-related malfunction) that causes damage to tangible property, and that claim does not constitute or arise from death or personal injury (which is governed by Clause 19.4(i)), Serenyc’s liability for such property damage claim shall not exceed the original purchase price paid by you for the relevant hardware device. This clause does not limit or affect your statutory rights under the Liability for Defective Products Act 1991 or any other non-excludable provision of applicable law.
19.4 Nothing in these Terms limits or excludes liability for: (i) death or personal injury caused by Serenyc’s negligence; (ii) fraud or fraudulent misrepresentation; (iii) liability under the Liability for Defective Products Act 1991 or EU Product Liability Directive 85/374/EEC; or (iv) any other liability that cannot lawfully be excluded or limited under Irish law or applicable mandatory consumer legislation. Clause 19.2 and 19.3 apply only to the extent permitted by law.
INDEMNITY
20.1 Users agree to indemnify Serenyc against claims arising from:
- Misuse of Service;
- Breach of these Terms;
- Violation of applicable laws.
CHANGES, SUSPENSION, AND TERMINATION
21.1 Serenyc may suspend or terminate access where:
- Terms are breached;
- Security risks arise;
- Fraudulent activity is suspected.
21.2 Users may terminate accounts at any time.
21.3 Certain clauses shall survive termination, including:
- Liability
- Intellectual property
- Indemnity
21.4 Serenyc may modify/update these Terms from time to time.
21.5 Material changes shall be communicated by email where required.
21.6 Service availability and feature changes: Serenyc may at any time, with or without prior notice (except as required by law): (i) modify, update, or enhance any feature or functionality of the Services; (ii) discontinue, replace, or withdraw any feature of the Services, including features that depend on cloud infrastructure, third-party APIs, or platform integrations; or (iii) change the technical requirements or platform dependencies required to access the Services. Where a modification is material and affects a feature of a product you have purchased, we will provide reasonable advance notice and, where required by the EU Sale of Goods Directive 2019/771, obtain your consent. Serenyc shall not be liable for any loss or inconvenience arising from discontinued or modified features, except as required by applicable mandatory law.
21.7 Beta services — risk acknowledgment: Any Services, features, devices, or functionalities made available as part of a beta programme or pre-commercial release (“Beta Services”) are provided on a “as is” and “as available” basis. Beta Services may be incomplete, unstable, subject to change, withdrawn without notice, or unsupported. Serenyc gives no warranty, express or implied, as to the continuity, stability, fitness for purpose, or commercial readiness of any Beta Service. Hardware devices provided as part of a beta programme may not yet have received final commercial safety certification. By participating in a beta programme, you acknowledge and accept these limitations. Beta programmes are governed by the Beta Participation Terms in addition to these Terms; where there is a conflict, the Beta Participation Terms prevail in respect of beta-specific matters.
21.8 Third-party integrations and external services: The Services may interact with, or integrate with, third-party platforms, applications, tools, or services (“Third-Party Services”). Serenyc is not responsible for: (i) the conduct, availability, accuracy, or reliability of any Third-Party Service; (ii) changes made by a third-party provider to their service that affect the functionality of the integration; (iii) the data practices or privacy policies of any Third-Party Service; or (iv) any loss or damage arising from your use of or reliance on any Third-Party Service. Users are responsible for reviewing and complying with the terms and privacy policies of any Third-Party Service they access in connection with the Serenyc platform. Serenyc may modify, suspend, or discontinue any integration with a Third-Party Service at any time and without notice, and shall not be liable for any impact this may have on your use of the Services.
FORCE MAJEURE
22.1Neither party shall be liable for failure or delay caused by events outside its reasonable control.
22.2The affected party will notify the other promptly and use reasonable endeavours to minimise impact.
DISPUTE RESOLUTION AND GOVERNING LAW
23.1These Terms are governed by the laws of Ireland. Contact us first at hello@serenyc.com to attempt informal resolution.
23.2If not resolved: (i) EU consumers may use the EU ODR platform at ec.europa.eu/consumers/odr; (ii) certified ADR entities in Ireland are listed at www.ccpc.ie; (iii) the courts of Ireland have jurisdiction, subject to mandatory consumer rights to litigate in your country of residence.
THIRD-PARTY PAYMENT PROCESSORS
24.1Payment processing is handled by Stripe (primary processor) and, where available, Klarna. These processors have their own terms and privacy policies.
GENERAL PROVISIONS
25.1Entire Agreement: These Terms, together with the Privacy Policy, Cookie Policy, and any specific additional terms, constitute the entire agreement.
25.2Severability: If any provision is held invalid, remaining provisions continue in full force.
25.3No Waiver: Our failure to enforce any provision is not a waiver.
25.4Notices: Notices to us must be sent to hello@serenyc.com or to our registered address.
